LOCUS STUDIO - BETA TEST LICENSE AGREEMENT (EULA)

Version: Beta 1.0 | Effective date: September 5, 2026

IMPORTANT - READ CAREFULLY. This Beta Test License Agreement ("Agreement") is a binding legal contract between you ("you", "Tester", or "Licensee") and Blossom Merz DBA Algorista ("Licensor", "we", "us", or "our"), the developer of the software application known as Locus Studio, including its desktop application, its hosted web application, and all related files, documentation, and updates (collectively, the "Software").

BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE SOFTWARE - OR BY CLICKING "I AGREE," CHECKING AN ACCEPTANCE BOX, OR TAKING ANY EQUIVALENT ACTION - YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT DOWNLOAD, INSTALL, ACCESS, OR USE THE SOFTWARE.

1. Definitions

1.1 "Beta Software" means the pre-release, unfinished version of the Software made available for evaluation and testing under this Agreement.

1.2 "Feedback" means any suggestion, comment, idea, bug report, feature request, error report, evaluation, data, or other information you provide to us relating to the Software.

1.3 "Output" means the geometric designs, files (including .locus files), SVG exports, and other content you create using the Software.

1.4 "Documentation" means any user guides, readme files, or instructions we provide for the Software.

1.5 "Beta Tester" means a person who accepted this Agreement and was issued a license for the Beta Software before the Release Date.

1.6 "Release Date" means the date on which Licensor first makes a general, non-beta release of the Software publicly available.

1.7 "Release Agreement" means the license agreement governing the general release of the Software, as in effect on the Release Date.

2. Eligibility and acceptance

2.1 You represent that you are at least 18 years of age and have the legal capacity to enter into this Agreement. If you are accepting on behalf of an organization, you represent that you are authorized to bind it.

2.2 Your acceptance is effective when you first take any action described in the "IMPORTANT" paragraph above.

3. License grant

3.1 Subject to your compliance with this Agreement, Licensor grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use the Beta Software solely for the purpose of internal evaluation and testing and providing Feedback during the Beta Term (Section 12).

3.2 This is a license, not a sale. Licensor and its licensors retain all right, title, and interest in and to the Software.

4. Nature of beta software; no guarantees

4.1 You acknowledge that the Beta Software is pre-release, experimental, and provided for testing only. It may contain bugs, errors, and defects, may be unstable, may not operate as intended, and may produce incorrect results.

4.2 Licensor makes no commitment that the Software will ever be released commercially, will reach general availability, will retain any particular feature, or will be offered at any particular price (or at all).

4.3 Licensor does not guarantee that files, projects, or Output created with the Beta Software (including .locus files) will be compatible with, or openable in, future versions of the Software. File formats may change without notice.

4.4 Licensor may modify, suspend, discontinue, or terminate the beta program or the Software, in whole or in part, at any time and without notice or liability.

5. Restrictions

You shall not, and shall not permit any third party to:

(a) copy, reproduce, or distribute the Software except as expressly permitted;

(b) sell, rent, lease, lend, sublicense, or otherwise transfer the Software or your rights under this Agreement;

(c) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, methods, or underlying structure of the Software, including without limitation its geometry engine and its symmetry / wallpaper-group engine, except to the limited extent this restriction is prohibited by applicable law;

(d) modify, adapt, translate, or create derivative works of the Software;

(e) remove, alter, or obscure any copyright, trademark, or other proprietary notice;

(f) use the Software to develop a competing product, or to extract, replicate, or reuse its algorithms or design;

(g) circumvent or disable any security, licensing, or access-control feature; or

(h) use the Software in violation of any applicable law.

6. Ownership and intellectual property

6.1 The Software, including all copies, modifications, and derivative works, and all intellectual property rights therein - including without limitation the geometry engine, its arc-and-line boolean geometry, the symmetry and wallpaper-group engine, the node library, the cluster library, and the overall "look and feel" - is and remains the sole and exclusive property of Licensor and its licensors.

6.2 No rights are granted to you except the limited license expressly stated in Section 3. All rights not expressly granted are reserved.

7. Your Output and content

7.1 You own your Output. Licensor claims no ownership of the geometric designs, files, or SVG exports you create with the Software.

7.2 You are free to use your Output for any lawful purpose, including commercial use (for example, fabricating and selling physical goods made from your designs).

7.3 You are solely responsible for your Output, including ensuring you have the rights to any content you import into the Software and that your Output does not infringe the rights of any third party.

8. Feedback

8.1 You may, but are not required to, provide Feedback. You grant Licensor a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, and sublicensable license to use, reproduce, modify, distribute, and otherwise exploit all Feedback for any purpose, without any obligation, attribution, or compensation to you.

8.2 Feedback is provided voluntarily and non-confidentially. You represent that you have the right to provide it and that it does not violate any obligation of confidentiality or any third-party right. Licensor is free to develop features similar to, or based on, your Feedback without any liability to you.

9. Confidentiality

9.1 The Software and any non-public information about it (including unreleased features, performance, and Documentation marked or reasonably understood to be confidential) are Licensor's confidential information. You shall not disclose Licensor's confidential information to any third party, except that publicly released information and general impressions of the Software are not restricted.

9.2 This Section does not restrict Feedback you give to Licensor, and does not apply to information that is or becomes public through no fault of yours.

10. Privacy and data

10.1 This version of the Software is designed to operate locally on your own device. Licensor does not collect, transmit, or store your Output, your files, your personal information, telemetry, or crash data through the Software.

10.2 Your files and Output are stored on your own device, and you are solely responsible for their security and backup (see Section 11).

10.3 Machine identifiers. To issue a license, Licensor records the machine identifier you send and the email address you send it from. Licensor retains these after the Beta Term solely to issue the licenses described in Section 12.5, and does not sell or share them.

11. Assumption of risk; fabrication and data-loss disclaimer

11.1 You use the Beta Software entirely at your own risk.

11.2 Fabrication. The Software can export designs (including SVG files) intended to drive lasers, CNC machines, and other fabrication equipment. You are solely responsible for independently inspecting, verifying, and testing all Output before using it to operate any machine or fabricate any physical object. Licensor is not responsible for wasted materials, damaged equipment, defective products, personal injury, or any other loss arising from your use of Output with any machinery.

11.3 Data loss. The Beta Software may lose, corrupt, or fail to save your files or Output. You are solely responsible for backing up your work. Licensor is not responsible for any lost or corrupted data.

12. Beta term and termination

12.1 This Agreement begins when you accept it and continues until the beta program ends or the Agreement is terminated (the "Beta Term").

12.2 Either party may terminate this Agreement at any time, for any reason, with or without notice. Licensor may suspend or revoke your access to the Software at any time.

12.3 Upon termination or expiration, the license in Section 3 ends immediately and you shall stop using and delete or destroy all copies of the Software in your possession. You may retain your own Output.

12.4 Sections 5, 6, 8, 9, 11, 12.5, 12.6, 13, 14, 15, and 17 survive termination.

12.5 Licenses issued on the Release Date. If Licensor makes a general release of the Software, then on the Release Date Licensor will issue, at no charge: (a) to each Beta Tester, a license valid for one year from the Release Date; and (b) to any other person who requests one, a license valid for 90 days from the Release Date. Licenses under (a) are issued automatically for the machine identifier the Beta Tester provided during the Beta Term, without request or further action; a Beta Tester whose machine has changed may request a transfer at the address in Section 18. Licenses issued under this Section are governed by the Release Agreement and not by Section 3 of this Agreement, and are provided free of charge, so Sections 13 and 14 continue to apply to them.

12.6 Survival of Section 12.5. Section 12.5 survives the expiration of the Beta Term. It does not survive termination of this Agreement by Licensor for your breach, or termination by you before the Release Date. Nothing in this Agreement obligates Licensor to make a general release of the Software.

13. Disclaimer of warranties

13.1 THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

13.2 LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR ACCURATE, OR THAT DEFECTS WILL BE CORRECTED.

13.3 Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

14. Limitation of liability

14.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, MATERIALS, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT WILL NOT EXCEED US $100 OR THE AMOUNT YOU PAID FOR THE SOFTWARE (WHICH IS $0 FOR THE BETA), WHICHEVER IS GREATER.

14.3 The Software is provided to you free of charge. These limitations reflect the allocation of risk between the parties and apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless Licensor from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Software, (b) your Output, (c) your breach of this Agreement, or (d) your violation of any law or third-party right.

16. Third-party components

The Software includes third-party open-source components (for example, and without limitation, components under permissive licenses used to build and run the Software). Such components are licensed under their own terms, which are made available with the Software. To the extent a third-party license conflicts with this Agreement with respect to that component, the third-party license governs for that component.

17. General

17.1 Governing law. This Agreement is governed by the laws of the State of New Mexico, USA, without regard to its conflict-of-laws rules. You consent to the exclusive jurisdiction and venue of the state and federal courts located in New Mexico for any dispute arising out of or relating to this Agreement.

17.2 Export compliance. You represent that you are not located in, and will not use or export the Software in violation of, any applicable export-control or sanctions law.

17.3 Changes to this Agreement. Licensor may modify this Agreement for future versions or continued use of the beta. Your continued use after a change takes effect constitutes acceptance of the modified Agreement.

17.4 Entire agreement. This Agreement is the entire agreement between you and Licensor regarding the Beta Software and supersedes all prior understandings on that subject.

17.5 Severability. If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be enforced to the maximum extent permitted.

17.6 No waiver. Licensor's failure to enforce any provision is not a waiver of its right to do so later.

17.7 Assignment. You may not assign this Agreement without Licensor's prior written consent. Licensor may assign it freely.

17.8 No support obligation. Licensor is under no obligation to provide maintenance, support, updates, or bug fixes for the Beta Software.
