2025 02 08 Member meeting - dimsumlabs/dsl-meta GitHub Wiki

Follow-up

  • Minutes, see Iulian’s post to the members mailing list.

  • Iulian assembled a list of tasks.

  • Proposal on more structured self organization.

Schedule

Someone should take a protocol.

  • 4pm, sunset drinks, as proposed by Iulian

  • 5pm, the meeting starts:

    1. Introduction round:

      • Philip gives intro to state of the space.

      • Every member gets a few minutes to share thoughts.

    2. Question: Should we make a final decision today or make another meeting for that in a month? (less stressful)

    3. Discussion

Discussion points

  • Financial status

  • Should we set up a statute?

  • How to share tasks to offload work from Philip

  • Bank account:

    • Audit requirement: Aren’t we exempt from that as a small company?
  • Sustainability and growth

Current state

  • Company that rents the office space for Dim Sum Labs:

    • Name: CODE AND MAKE LIMITED

    • Directors: Philip, Neil

    • Secretary: Nico

  • Rent for space: 14,000 HKD / m

  • Bills: ~2,000 HKD / m

  • Member fees 2025-01 (copied from image on screen): 16,851 HKD

Thoughts ahead

  • If we want to make a statute, a minimalistic example is the one by the update computer club in Uppsala: Update's bylaws (Swedish)

    Key takeaways:

    • Meetings frequency: ≥ 2/y

    • Yearly election of:

      • Board

      • Two auditors

    • Board is comprised of: director, secretary, treasurer, plus optionally additional members

    • If there is a change to the statute, that requires another meeting one month later. (to think about it)

  • SZDIY has a lean setup with the founder taking care of administrative work and members putting in money. They rent a small space for 3k RMB in an incubator by HKUST. For the weekly meeting, generally with talks, they can use the meeting room.
