Nomadtask Terms

In this Terms:

"User", "you" or "your" refers to an individual who visits or uses the Website, including via the API.

"Account" means the account associated with your email address.

"Maker" means a User that creates Tasks for other users to join. A Maker requires an Account.

"Worker" means a User that applies for, begins, and⁄or completes Tasks posted by a Maker in order to be paid for completion of the Task. A Worker requires an Account.

"Task" means a task that is posted by a Maker which a user can join. Users can join the Task and submit proof of completion of the task that is addressed on the Task Instruction via the Website. The Task will include the full scope of the requirements to complete the task.

"Proof" refers to a screenshot, link (URL), and⁄or words (text) of the User’s content that is submitted in order to prove that the User has successfully completed the Task by satisfying all the requirements that are addressed in the Task instruction.

"Moderation" is a process that verifies each Proof submission in order to approve or reject the Proof submission based on the addressed requirements on the Task instruction. Moderations are performed by the Maker who has created the Task.

"Nomadtask", "we", "our", "company" or "the company" or "us" means Nomadtask or the company running Nomadtask.

"Nomadtask Services" means all services provided by us to you.

"Intellectual Property Rights" refers to all intellectual property rights existing worldwide and the subject matter of such rights, including: (a) patents, copyright, rights in circuit layouts (or similar rights), registered designs, registered and unregistered trademarks, and any right to have confidential information kept confidential; and (b) any application or right to apply for registration of any of the rights referred to in paragraph (a), whether or not such rights are registered or capable of being registered and whether existing under any laws, at common law or in equity.

"Website" means the Websites operated by Nomadtask and available at: nomadtask.com and any of its regional or other domains or properties, and any related Nomadtask service, tool or application, specifically including mobile web, any iOS App and any Android App, or API or other access mechanism.

"Reward" means a reward that is paid from a Maker to a Worker in return for the Worker’s Proof submissions according to the Task instruction.

"USD Point" is a unit referring to each Reward that is paid from a Maker to a Worker in the form of United States dollar(s).

"HUNT Token" means a cryptocurrency issued on the Ethereum Network based on ERC20 token standard.

"My Credit" refers to the web page where Users can check the total balance of the USD Points earned ("Available Balance"), details of their Reward transactions ( "Transactions"), and withdraw the reward to a designated option that the User has chosen ("Withdraw").

"Transfer to HUNT" refers to the withdrawal option that enables a User to transfer the reward to their own External Ether Wallet via the form of HUNT Token.

Overview

By accessing the Website, you agree to the following terms with Nomadtask.

We may amend these Terms and any linked information from time to time by posting the amended terms on the Website, without notice to you.

The Website is an online venue where Users post and⁄or complete Tasks. Makers and Workers must register for an Account in order to post and⁄or join a Task. The Website enables Users to work together online to complete and pay for Tasks. We are not a party to any contractual agreements between Makers and Workers in the online venue. We merely facilitate connections between the parties.

We may, from time to time, and without notice, change or add to the Website or the information, products or services described in it. We are not liable to you or anyone else if any error occurs in the information on the Website or if that information is not current.

Scope

Before using the Website, you must read the whole Terms, the Website policies and all linked information.

You must read and accept all of the terms in, and linked to, this Terms, the Nomadtask Data Policy and all Website policies. By accepting this Terms as you access our Website, you agree that this Terms will apply whenever you use the Website, or when you use the tools we make available to interact with the Website. Some Websites may have additional or other terms that we provide to you when you use those services.

Eligibility

You will not use the Website if you:

1. are not able to form legally binding contracts;
2. are under the age of 18;
3. are suspended from using the Website; or
4. do not hold a valid email address.

All free user accounts are associated with individuals. Login credentials should not be shared by users with others. The individual associated with the account will be held responsible for all actions taken by the account, without limitation.

Users may provide a business name or a company name, which is associated with the User's Account. Users acknowledge and agree that where a business name or company name is associated with their Account, this Terms is a contract with the User as an individual (not the business or company) and Users remain solely responsible for all activity undertaken in respect of their Account.

A company, corporation, trust, partnership or other non-individual corporate entity may be a User subject to an eligible corporate account which may be required to pay corporate subscriptions.

We may, at our absolute discretion, refuse to register any person or entity as a User.

You cannot transfer or assign any rights or obligations you have under this agreement without prior written consent.

Using Nomadtask

While using the Website, you will not attempt to or otherwise do any of the following:

1. post content or items in inappropriate categories or areas on our Websites and services;
2. infringe any laws;
3. fail to deliver payment for services delivered to you;
4. circumvent or manipulate our fee structure, the billing process, or fees owed to Nomadtask;
5. post false, inaccurate, misleading, deceptive, defamatory or offensive content (including personal information);
6. take any action that may undermine the feedback or reputation systems (such as displaying, importing or exporting feedback information or using it for purposes unrelated to the Website);
7. transfer your Nomadtask account (including feedback) and Username to another party without our consent;
8. distribute or post spam, unsolicited, or bulk electronic communications, chain letters, or pyramid schemes;
9. distribute viruses or any other technologies that may harm Nomadtask, the Website, or the interests or property of Nomadtask users (including their Intellectual Property Rights, privacy and publicity rights) or is unlawful, threatening, abusive, defamatory, invasive of privacy, vulgar, obscene, profane or which may harass or cause distress or inconvenience to, or incite hatred of, any person;
10. download and aggregate listings from our website for display with listings from other websites without our express written permission, "frame", "mirror" or otherwise incorporate any part of the Website into any other website without our prior written authorization;
11. attempt to modify, translate, adapt, edit, decompile, disassemble, or reverse engineer any software programs used by us in connection with the Website;
12. copy, modify or distribute rights or content from the Website or Nomadtask's copyrights and trademarks; or
13. harvest or otherwise collect information about Users, including email addresses, without their consent.

Taxes

You are responsible for paying any taxes, including any goods and services or value added taxes, which may be applicable depending on the jurisdiction of the services provided.

You acknowledge that you must comply with your obligations under income tax provisions in your jurisdiction.

Promotion

We may display your company or business name, logo, images or other media as part of the Nomadtask Services and⁄or other marketing materials relating to the Website, except where you have explicitly requested that we do not do this and we have agreed to such a request in writing.

You acknowledge that we may use the public description of your Task and the content of your profile information on the Website for marketing and other related purposes.

Content

When you give us content, you grant us a worldwide, perpetual, irrevocable, royalty-free, sublicensable (through multiple tiers) right to exercise any and all copyright, trademark, publicity, and database rights (but no other rights) you have in the content, in any media known now or in the future.

You acknowledge and agree that: (1) we act only as a forum for the online distribution and publication of User content. We make no warranty that User content is made available on the Website. We have the right (but not the obligation) to take any action deemed appropriate by us with respect to your User content; (2) we have no responsibility or liability for the deletion or failure to store any content, whether or not the content was actually made available on the Website; and (3) any and all content submitted to the Website is subject to our approval. We may reject, approve or modify your User content at our sole discretion.

You represent and warrant that your content:

1. will not infringe upon or misappropriate any copyright, patent, trademark, trade secret, or other intellectual property right or proprietary right or right of publicity or privacy of any person;
2. will not violate any law or regulation;
3. will not be defamatory or trade libelous;
4. will not be obscene or contain child pornography;
5. will not contain the development, design, manufacture or production of missiles, or nuclear, chemical or biological weapons
6. will not contain material linked to terrorist activities
7. will not include incomplete, false or inaccurate information about User or any other individual; and
8. will not contain any viruses or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information.

You acknowledge and agree that we may transfer your personal information to a related body corporate. If you wish to withdraw your consent, you acknowledge and agree that we may be unable to provide you with access to the Website and Nomadtask Services and may close your Account.

Information on the Website may contain general information about legal, financial, health and other matters. The information is not advice, and should not be treated as such. You must not rely on the information on the Website as an alternative to professional advice. If you have specific Questions about any matter you should consult your professional advisors.

We provide unmonitored access to third party content, including User feedback and articles with original content and opinions (or links to such third party content). We only act as a portal and have no liability based on, or related to, third party content on the Website, whether arising under the laws of copyright or other intellectual property, defamation, libel, privacy, obscenity, or any other legal discipline.

The Website may contain links to other third party websites. We do not control the websites to which we link from the Website. We do not endorse the content, products, services, practices, policies or performance of the websites we link to from the Website. Use of third party content, links to third party content and⁄or websites is at your risk.

In order to delete or hide any information or content, contact [email protected]. If a request is made to delete or hide information, information may be retained for a period of time to fulfil record keeping, regulatory, compliance, statistical, law enforcement and other obligations.

The copyright of review content that has been submitted by a Worker for the Task submission is held by the person who created the original content. The Maker should contact the content owner directly in order to utilise the content for marketing purpose. We are not liable for any infringement of copyright between Workers and Makers whatsoever.

Advertising

We may display advertisements or promotions on the Website. You acknowledge and agree that we shall not be responsible for any loss or damage of any kind incurred by you as a result of the presence of such advertisements or promotions or any subsequent dealings with third parties. Furthermore, you acknowledge and agree that the content of any advertisements or promotions may be protected by copyrights, trademarks, service marks, patents or other intellectual property or proprietary rights and laws. Unless expressly authorized by Nomadtask or third party right holders, you agree not to modify, sell, distribute, appropriate or create derivative works based on such advertisement⁄promotions.

Identity

You authorize us, directly or through third parties, to make any inquiries we consider necessary to validate your identity. You must, at our request: (1) provide further information to us, which may include your date of birth and or other information that will allow us to reasonably identify you; (2) take steps to confirm ownership of your email address or financial instruments; or (3) verify your information against third party databases or through other sources.

We reserve the right to close, suspend, or limit access to your Account, the Website and⁄or Nomadtask Services in the event we are unable to obtain or verify to our satisfaction the information which we request under this section.

User Services

Upon the Maker awarding a Task completion to the Worker, the Maker and Worker will be deemed to have entered into a mutual agreement under which the Maker agrees to reward based upon what are addressed in the Task, and the Worker agrees to deliver the Task activities. You agree not to enter into any contractual provisions in conflict with the Terms.

You are solely responsible for ensuring that you comply with your obligations to other Users. If you do not, you may become liable to that User. You must ensure that you are aware of any domestic laws (including common law), international laws, statutes, ordinances and regulations relevant to you as a Maker or Worker, or in any other uses you make of the Website.

If another User breaches any obligation to you, you are solely responsible for enforcing any rights that you may have. For the avoidance of doubt, we have no responsibility to enforce any rights under your agreement with each other.

Depending on their jurisdiction, Workers and Makers may have rights under statutory warranties that cannot lawfully be excluded. Nothing in this Terms is intended to override a right that by applicable law may not be excluded. Nothing in this Terms is intended to violate any laws relating to unfair contracts, and this agreement has been specifically redrafted to ensure compliance with unfair contracts legislation. To the extent that any component of this Terms is in conflict with inalienable rights under local laws, all parties intend for this agreement to be read down only insofar as to be in compliance with such local laws and no further.

Nothing in this Terms creates a partnership, joint venture, agency or employment relationship between Users. Nothing in this Terms shall in any way be construed as forming a joint venture, partnership or a Maker-Worker relationship between Nomadtask and any User.

Reward

Reward is used as payment to a Worker from a Maker when the worker’s proof submissions have been approved in the moderation process and accepted by the Maker. All Tasks have a set of rules and guidelines ( "Task Instruction") that Workers who join must follow in order to gain the rewards. Makers have the right to reject submissions or deny to give rewards if the Worker has not met the rules and guidelines of the Task.

A Worker must read and agree to the Workers Guidelines before joining a Task. Any violations of the guidelines may cause a rejection of the Reward distribution and⁄or blacklisted if the actions are serious or frequently attempted.

Workers shall receive the Reward in the form of USD Point 4 hours after the Worker's submission is approved by the Maker. The Reward will be distributed to the User’s My Credit section that is managed and controlled by Nomadtask. All amount of rewards in the My Credit will be constantly monitored. If we find an action from a Worker that may damage any of Nomadtask Services and⁄or operation of Tasks, or whose actions are considered to be harmful to the quality of the Nomadtask Service and⁄or operation of Tasks, Nomadtask can suspend the account and remove the entire reward value from the Worker’s My Credit.

Workers shall transfer the received Reward to ETH or HUNT Token via their External Ether Wallet conducted through the Ethereum Network or XRP Token via Ripple Network. Once we have verified the transactions conducted through the site, the Rewards will be transferred from the My Credit to the External Ether Wallet that is connected to an appropriate Ethereum address by the Worker (or XRP Wallet when the worker chooses to withdraw via XRP). With this in mind, we will have no liability to you or to any third party for any claims or damages that may arise as a result of any transactions that you engage in via the Site, Nomadtask, or any other transactions that you conduct via the Ethereum or Ripple network.

By utilizing the My Credit transfer, the Site or interacting with the Tools or platform or anything contained or provided therein in any way, you represent that you understand the inherent risks associated with cryptographic systems; and warrant that you have an understanding of the usage, risks, potential bugs based on novel technology (where applicable), and intricacies of native cryptographic tokens, like Ether (ETH) and Bitcoin (BTC), smart contract based tokens such as those that follow the Ethereum Token Standard (https://github.com/ethereum/EIPs/issues/20) and blockchain-based software systems.

HUNT Tokens are intangible digital assets that exist only by virtue of the ownership record maintained in the ethereum network. Nomadtask has no control over and makes no guarantees or promises with respect to the ownership record.

By using the site, you accept the inherent security risks of providing information and dealing online over the internet, and agree that Nomadtask has no liability or responsibility for any breach of security unless it is due to our gross negligence.

Nomadtask will not be responsible or liable to you for any losses you incur as a result of your use of the ethereum network or any ethereum electronic wallet, including but not limited to any losses, damages or claims arising from: (i) user error, such as forgotten passwords or incorrectly construed smart contracts or other transactions; (ii) server failure or data loss; (iii) corrupted wallet files; or (iv) unauthorized access or activities by third parties, including but not limited to the use of viruses, phishing, bruteforcing or other means of attack against Nomadtask, Ethereum Network, or the Metamask Electronic Wallet.

Nomadtask is not responsible for losses due to blockchains or any other features of the Ethereum Network or any Ethereum Electronic Wallet, including but not limited to late report by developers or representatives (or no report at all) of any issues with the blockchain supporting the Ethereum Network, including forks, technical node issues, or any other issues having fund losses as a result.

Limits & Fraud Prevention

We reserve the right to suspend a User transfer request of his or her Reward if the source of the Reward is suspected to be fraudulent.

If we become aware that any Reward received as a result of a fraudulent transaction, this will be reversed immediately. If those Reward have already been released to you, you must pay the Reward back to Nomadtask. If you do not do so, we may suspend, limit or cancel your account, or take action against you to recover those Reward.

We may, in our sole discretion, place a limit on any or all of the Reward in your Account (thereby preventing any use of the Reward) if:

1. we believe there may be an unacceptable level of risk associated with you, your Account, or any or all of your transactions, including if we believe that there is a risk that such Reward will be subject to reversal or chargeback;
2. we believe that the beneficiary of the payment is someone other than you;
3. we believe that the reward transfer is being made to a country where we do not offer our Service; or
4. we are required to do so by law or applicable law enforcement agencies.

If you are involved in a dispute, we may (in certain circumstances) place a temporary limit on the Reward in your Account to cover the amount of any potential liability. If the dispute is resolved in your favor, we will lift the limit on your Reward and those Reward may be released to you. If the dispute is not resolved in your favor, we may remove the Reward from your Account. We may also place a limit on your account in circumstances where we suspect you of fraudulent or other unacceptable behavior, while we investigate any such matter.

Right to Refuse Service

We may close, suspend or limit your access to your Account without reason. Without limiting the foregoing, we may close, suspend or limit your access to your Account:

1. if we determine that you have breached, or are acting in breach of, this Terms;
2. if we determine that you have infringed legal rights (resulting in actual or potential claims);
3. if we determine that you have engaged, or are engaging, in fraudulent, or illegal activities;
4. you do not respond to account verification requests;
5. you do not complete account verification when requested within 3 months of the date of request;
6. to manage any risk of loss to us, a User, or any other person; or
7. for any other reason(s).

If we close your Account due to your breach of this Terms, you may also become liable for certain fees as described in this Terms.

Without limiting our other remedies, to the extent you have breached this Terms, you must pay us all fees owed to us and reimburse us for all losses and costs (including any and all of our Worker time) and reasonable expenses (including legal fees) related to investigating such breach and collecting such fees.

You acknowledge and agree that: (1) the damages that we will sustain as a result of your breach of this Terms will be substantial and will potentially include (without limitation) fines and other related expenses imposed on us by our payment processors and Users and that those damages may be extremely difficult and impractical to ascertain; (2) if you breach this Terms, we may take legal action against you to recover losses.

In the event that we close your Account, you will have no claim whatsoever against us in respect of any such suspension or termination of your Account.

Blacklist

We run a blacklist to prevent abusing of Rewards from the Task activities and maintain a fair platform. If you commit any of the following actions, your account will be blacklisted.

1. Operate multiple alt accounts to submit multiple submissions from the same person by pretending to be a different person.
2. Submit non-relevant proofs to the Task instruction.
3. Plagiarise the content submitted.
4. Frequently appeal to the Maker without any valid appeal reasons.
5. Frequently interrupt the Task operation by the Maker or the conduct of business.
6. Get blocked by three different makers.
7. Your Trust Score becomes 0%.
8. for any other reason(s) that may harm on the overall Nomadtask website and business operation.

Even if you are blacklisted, you can still use our platform as a maker (creating tasks), however, you won't be able to receive Rewards from your Task approval and withdraw the USD Point displaying on My Credit section. We announce the blacklist via #blacklist channel in our Discord Group. You can also appeal via #nomadtask channel if you think you did not commit any of the actions above.

Fees & Services

We charge two types of fees to a Maker who creates a Task as below:

1. Operation fee: Nomadtask charges a 5% operation fee across all Task Budgets. Please note that you may have a different operation fee if agreed upon by you and Nomadtask.
2. Accounting ⁄ Conversion fee: Nomadtask charges an additional 5% fee across all Task Budgets for processing accounting procedures and⁄or converting between fiat and cryptographic currencies.

We may choose to temporarily change the fees for our services for promotional events (for example, discounts on memberships) or new services, and such changes are effective when we post a temporary promotional event or new service on the Website, or through promotional correspondence.

We may, from time to time, and without notice, change or add to the fees.

Task Creation, Operation & Expiration

Task is a general mission created by a Maker so that Workers can perform a certain task for the product. There are multiple Task categories as below that the Maker can choose from:

1. Download ⁄ Activities
2. Channel Boost
3. Social ⁄ Blog Review
4. App Store Review
5. Survey
6. Custom Task

It is the Makers responsibility to fully understand each Task category, and choose the right category for the task mission that the Maker set. Nomadtask has no liability or responsibility for the misled or low quality Task submissions due to the wrong category choice. The categories may be updated or deleted from time to time, and without notice.

A Maker must read and agree to the Maker Guidelines and Refund Policy before joining a Task. We have no responsibility to any unwanted results that are caused because the Maker did not follow, or violated the rules outlined in the Maker Guidelines.

It is the Makers responsibility to provide well-written Task Instructions for the Workers who join and perform the Task. The instruction must be simple and clear to understand, and describe all necessary information that the Worker should know to provide the right Task Proof. Makers are also responsible to provide a clear screenshot example that is approachable from the Worker.

Product or Subject Link that the Maker provides on the Task description must be a valid and not a fraudulent link.

All Proof submissions from Workers who joined the Task will appear on the Maker Dashboard section when a Maker runs a Task. Makers must complete the moderation process (approve or reject) for each submission within 72 hours from the submitted date. If the Maker fails to approve⁄reject within the period, the Proof submission will be automatically approved, and the result is irreversible.

Makers can only reject worker's submission based on what the Maker has required in the Task Instruction. Makers must provide a valid reason to reject the submission. If we receive an appeal from a Worker whose rejection reason was not clearly described on the Task Instruction, we may change the moderation result.

Makers may receive an appeal request from the Worker whose Proof submission got rejected via the registered email. The Maker must respond to the appeal request and reply with a fair reason to reject, or change the moderation result. If the Task instruction does not clearly address the reason of rejection, you are not able to reject the submission, so you need to approve the submission. If not, we may change the moderation result.

You must be aware that your Task activities may affect on your social⁄blog channels. Your Task missions may violate the terms or policy of some other services, which may result in a suspension of the account. We have no responsibility or liability for any results in your social⁄blog accounts such as suspension or deletion.

From the Task operation, you may encounter an abusive or not preferable user. We have no responsibility or liability for any effects on your product⁄service operation from the user.

A Task reward will be distributed automatically to the Worker's My Credit after 4 hours from the time when the Maker approve the Proof submission. The Task will expire when there is not sufficient budget left to accept more Workers to join. In this case, the Maker can add more budget to keep running the Task. If not, the Task will be finished.

A Maker is responsible to set the right amount of the minimum Task Reward based on the level of completion. The minimum reward that is too low may result in a low number of participants, which result in delaying Task completion. For the refund information about your task budget as a Maker, please refer to the Refund Policy.

Access & Interference

You agree that you will not use any robot, spider, scraper or other automated means to access the Website via any means, including for the avoidance of doubt access to our API or application programming interface, for any purpose without our express written permission.

Additionally, you agree that you will not:

1. take any action that imposes or may impose (in our sole discretion, exercised reasonably) an unreasonable or disproportionately large load on our infrastructure;
2. interfere with, damage, manipulate, disrupt, disable, modify, overburden, or impair any device, software system or network connected to or used (by you or us) in relation to the Website or your Account, or assist any other person to do any of these things, or take any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on our infrastructure;
3. copy, reproduce, modify, create derivative works from, distribute, or publicly display any content (except for your information) from the websites without the prior express written permission of Nomadtask and the appropriate third party, as applicable;
4. interfere or attempt to interfere with the proper working of the Websites, services or tools, or any activities conducted on or with the Websites, services or tools; or
5. bypass our robot exclusion headers or other measures we may use to prevent or restrict access to the Website.

Privacy

We use your information as described in the Nomadtask Data Policy. If you object to your information being transferred or used in this way then you must not use our services. For the avoidance of doubt, your name and personal details shall be used for identity purposes in the normal course of conducting business in this online marketplace. This may include on invoices and purchase orders including but not limited to between transacting parties, including those automatically generated on awarding, accepting and payment.

Indemnity

You will indemnify us (and our officers, directors, agents, subsidiaries, joint venturers and Workers) against any claim or demand, including legal fees and costs, made against us by any third party due to or arising out of your breach of this Agreement, or your infringement of any law or the rights of a third party in the course of using the Website and Nomadtask Services.

In addition, we can apply any funds in your Account against any liabilities you owe to us or loss suffered by us as a result of your non-performance or breach of this Terms.

Security

You must immediately notify us upon becoming aware of any unauthorized access or any other security breach to the Website, your Account or the Nomadtask Services and do everything possible to mitigate the unauthorized access or security breach (including preserving evidence and notifying appropriate authorities). Your User Account is yours only, and you must not share your password with others. You are solely responsible for securing your password. We will not be liable for any loss or damage arising from unauthorized access of your account resulting from your failure to secure your password.

Legal Limitations

As some jurisdictions do not allow some of the exclusions or limitations as established above, some of these exclusions or limitations may not apply to you. In that event, the liability will be limited as far as legally possible under the applicable legislation. We may plead this Terms in bar to any claim, action, proceeding or suit brought by you, against us for any matter arising out of any transaction or otherwise in respect of this Terms.

You and we agree that you and we will only be permitted to bring claims against the other only on an individual basis and not as a plaintiff or class member in any purported class or representative action or proceeding. Unless both you and we agree otherwise, the arbitrator may not consolidate or join more than one person's or party's claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding. In addition, the arbitrator may award relief (including monetary, injunctive, and declaratory relief) only in favor of the individual party seeking relief and only to the extent necessary to provide relief necessitated by that party's individual claim(s). Any relief awarded cannot affect other Users.

Abusing Nomadtask

Nomadtask reserves to the greatest extent possible all rights, without limiting any other remedies, to limit, suspend or terminate our service(s) and or user account(s), suspend or ban access to our services, remove any content, and to take any and all technical or legal steps to ban users.

Without limiting the reasons for taking the aforementioned actions, conduct giving rise to this response could include:

1. use of our services for any illegitimate or non bona fide purpose
2. creating problems with other users or potential legal liabilities
3. acting inconsistently with the letter or spirit of any of our policies
4. abuse of any staff members including inappropriate or unreasonable communications
